By accessing or using the LegalDraft website, application, APIs, or any related service (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
LegalDraft is not a law firm and is not a substitute for the advice or services of an attorney. We provide self-help document automation software. Use of the Service does not create an attorney-client relationship between you and LegalDraft, Elite Agentic Solutions LLC, or any of our owners, employees, contractors, or affiliates. Information you submit to the Service is not protected by attorney-client privilege or the work-product doctrine.
The Service does not provide legal advice, opinions, recommendations, strategy, or analysis applied to your specific situation. For advice on your specific situation, consult a licensed attorney in your jurisdiction.
The Service uses third-party large language models (including the Anthropic Claude API) to generate documents and educational content. AI output may contain errors, omissions, outdated legal references, hallucinated citations, or content that does not match your jurisdiction or facts. You are solely responsible for reviewing all AI-generated output, having it reviewed by a licensed attorney where appropriate, and deciding whether and how to use it. We make no representation that AI output is accurate, complete, current, suitable for any particular purpose, or compliant with any law.
You must be at least 18 years old and able to form a binding contract under applicable law. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for activity that occurs under your account.
The Service is currently not available to residents of Louisiana. Other jurisdictional restrictions may apply and may change without notice.
You agree not to: (a) use the Service to engage in the unauthorized practice of law; (b) submit content that infringes any third party’s rights; (c) submit confidential information of third parties without authorization; (d) reverse engineer or scrape the Service; (e) resell access to the Service; or (f) use the Service for any unlawful purpose.
Paid plans are billed in advance through Stripe on a recurring basis (monthly or annual). You authorize us to charge your payment method on each renewal date until you cancel. Cancellations take effect at the end of the current billing period.
Refund Policy: If you are dissatisfied with a paid plan, you may request a refund of your most recent billing cycle within fourteen (14) days of the charge by emailing [email protected]. Refunds are granted at our discretion. Refunds are not provided for accounts terminated for violation of these Terms or for usage in excess of a plan’s included quota.
You retain ownership of the inputs you submit. We grant you a non-exclusive, worldwide, royalty-free license to use the documents you generate through the Service for your own lawful purposes. The Service, including the underlying software, templates, and brand, is owned by Elite Agentic Solutions LLC and protected by intellectual property laws.
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND UNINTERRUPTED OPERATION. We do not warrant that the Service will meet your requirements, that documents generated will be legally sufficient in any jurisdiction, or that the Service will be error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ELITE AGENTIC SOLUTIONS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LEGAL FEES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Elite Agentic Solutions LLC and its affiliates from any claim, demand, loss, liability, cost, or expense (including reasonable attorney’s fees) arising from (a) your use of the Service, (b) your reliance on any AI-generated output, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 13, the exclusive venue for any action not subject to arbitration is the state and federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Wilmington, Delaware (or by remote hearing). The arbitrator’s decision is final and binding. Either party may bring an individual claim in small claims court for disputes within that court’s jurisdiction.
YOU AND LEGALDRAFT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration agreement by emailing [email protected] within thirty (30) days of first accepting these Terms.
We may suspend or terminate your account at any time for violation of these Terms or for any reason on reasonable notice. You may terminate by closing your account in your dashboard. Provisions intended to survive termination (including Sections 2, 3, 7–13, and 15) survive.
We may modify these Terms at any time by posting an updated version. Material changes will be notified by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
